Please read these Terms and Conditions carefully before using the InESS Supply Chain Management Platform. By accessing or using our Platform, you agree to be bound by these terms. This document should be read alongside our Privacy Policy and Cookie Policy, both of which are incorporated by reference.
1. Definitions
For the purposes of these Terms and Conditions, the following definitions apply:
- "Platform" means the InESS Supply Chain Management SaaS platform, including all tools such as ProcurePilot, PPV (Purchase Price Variance), CBOM (Configurable Bill of Materials), and any associated modules, APIs, and services.
- "Company," "We," "Us," or "Our" refers to InESS Solutions Pvt. Ltd., a company incorporated in India with its registered office in Bengaluru, Karnataka.
- "User," "You," or "Your" refers to any individual or entity accessing or using the Platform under a valid subscription plan.
- "Business User" means a User accessing the Platform for commercial, professional, or organisational supply chain operations (B2B).
- "Consumer User" means an individual accessing the Platform for personal or non-commercial use (B2C).
- "Subscription Plan" means the tier of service (Demo, Basic, Standard, Premium, or Enterprise) subscribed to by the User.
- "User Data" means all data, content, and information uploaded, submitted, or generated by the User within the Platform.
- "Confidential Information" means any non-public information shared between the parties in connection with the use of the Platform.
- "Minor" means any individual under the age of 18, or the age of majority in their jurisdiction, whichever is higher.
2. Acceptance of Terms
By registering for an account, accessing, or using the Platform in any manner, you confirm that:
- You have read, understood, and agree to be bound by these Terms and Conditions, our Privacy Policy, and our Cookie Policy.
- You are at least 18 years of age, or the age of legal majority in your jurisdiction. The Platform is not intended for use by Minors.
- If you are accepting on behalf of a company or organisation, you represent and warrant that you have the legal authority to bind that entity to these Terms.
- You will comply with all applicable local, national, and international laws and regulations.
Children's Privacy: We do not knowingly collect personal data from Minors. If you are a parent or guardian and believe a Minor has provided us with personal data, please contact us immediately at
servicedesk@inessconsulting.com. We will take steps to delete such data promptly. If you have not yet reached the age of majority in your jurisdiction, you must not use the Platform.
If you do not agree to these Terms, you must immediately discontinue use of the Platform. We reserve the right to update these Terms at any time with reasonable notice provided via email or in-app notification.
3. Platform Description & Services
InESS Solutions provides a cloud-based Supply Chain Management Platform designed to streamline procurement, cost analysis, and bill of materials management. The Platform includes, but is not limited to, the following modules:
- ProcurePilot — Automated procurement workflow and supplier management tool.
- PPV (Purchase Price Variance) — Cost tracking and variance analysis for procurement spend.
- CBOM (Configurable Bill of Materials) — Dynamic BOM configuration and management for manufacturing.
- Additional analytics dashboards, reporting tools, integrations, and supply chain intelligence modules as released from time to time.
We reserve the right to modify, add, or remove features of the Platform at our sole discretion. Material changes will be communicated with at least 30 days advance notice for paid plan subscribers.

4. Subscription Plans & Billing
4.1 Available Plans

The Demo plan is the only free access tier, available for 7 days with no credit card required. Paid plans do not include a free trial. Enterprise plans are fully customised — contact our sales team for pricing and terms.
4.2 Demo Plan & Free Access
- The Demo plan provides free access to the Platform for 7 days with no credit card required. It is intended for evaluation purposes only.
- Paid plans (Basic, Standard, Premium) do not include a free trial period. A valid payment method and active subscription are required to access any paid plan.
- At the end of the 7-day Demo period, your account will revert to read-only access. You must upgrade to a paid plan to continue full use of the Platform.
- Demo accounts are limited in data storage, user seats, and module access. Full feature access requires a paid plan.
- InESS Solutions reserves the right to suspend or terminate Demo accounts that are inactive for more than 90 days.
- InESS Solutions reserves the right to modify, limit, or discontinue the Demo plan at any time with reasonable notice.
4.3 Billing & Payment
- Paid plans are billed in advance on a monthly or annual basis as selected at the time of subscription.
- All prices are listed in USD unless otherwise stated. Applicable taxes (including GST for Indian users) will be added at checkout.
- Annual plans are billed as a single upfront payment and offer a discounted rate compared to monthly billing.
- Payments are processed securely through Stripe, our authorised third-party payment processor. By providing your payment details, you authorise InESS Solutions to charge your selected payment method via Stripe for all applicable fees. Your payment information is handled by Stripe in accordance with their privacy policy and PCI DSS compliance standards. InESS Solutions does not store your full card details on our servers.
- In the event of a failed payment, we will notify you and provide a grace period of 7 calendar days to resolve the issue before service suspension.
4.4 Auto-Renewal
- Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date.
- You will receive a renewal reminder at least 7 days before the renewal date via email.
- To disable auto-renewal, you may do so through your account settings or by contacting our support team.
4.5 Upgrades & Cancellations
- You may upgrade your plan at any time; the new rate takes effect immediately and is prorated for the current billing period.
- Plan downgrades are not permitted mid-cycle. If you wish to move to a lower-tier plan, you must cancel your current subscription and re-subscribe to the desired plan at the start of a new billing cycle. We recommend exporting your data before cancelling, as re-subscription at a lower tier may result in loss of configurations or features associated with your current plan.
- Cancellations take effect at the end of the current billing period. Access to paid features will continue until the end of the paid period.
4.6 Refund Policy
- Monthly subscriptions — No refunds: Monthly subscription fees are charged in full at the start of each billing cycle and are strictly non-refundable. If you cancel, your access continues until the end of the current paid period and no partial-month refund will be issued.
- Annual subscriptions — Limited refund window: If you cancel an annual subscription within 7 days of the initial purchase or annual renewal date, you may submit a refund request to servicedesk@inessconsulting.com. If approved, a prorated refund will be issued for the unused portion, minus any Stripe transaction fees.
- Enterprise plans — Custom terms: Refund and cancellation terms for Enterprise plans are governed by the signed Master Service Agreement (MSA). In the absence of a specific MSA clause, no refunds will be provided.
- Non-refundable circumstances: No refunds will be issued if your account has been suspended or terminated due to a violation of these Terms, the Acceptable Use Policy, or applicable law.
5. User Accounts & Responsibilities
- You must provide accurate, complete, and current information when creating your account.
- You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
- You must notify us immediately at servicedesk@inessconsulting.com if you suspect any unauthorised access to your account.
- You may not share your account credentials with third parties or allow concurrent logins from multiple unauthorised users.
- Business accounts may create multiple user seats as permitted by their Subscription Plan. Each seat must be assigned to a named individual.
6. Acceptable Use Policy
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must NOT:
- Use the Platform to process, store, or transmit any content that is illegal, harmful, fraudulent, abusive, defamatory, or otherwise objectionable.
- Attempt to gain unauthorised access to any part of the Platform, other user accounts, or related systems.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform or any of its components.
- Use automated tools, bots, scripts, or scrapers to extract data from the Platform without prior written consent.
- Introduce viruses, malware, ransomware, or any other harmful code into the Platform.
- Use the Platform to send unsolicited commercial communications (spam), conduct phishing activities, or engage in any form of deceptive marketing.
- Send electronic marketing communications to any person without their prior explicit consent, as required by applicable anti-spam laws including CASL (Canada), PECR (UK), and the EU ePrivacy Directive.
- Violate any applicable export control laws, trade restrictions, or sanctions regulations.
- Sublicense, resell, or commercially exploit any part of the Platform without an express written agreement with InESS Solutions Pvt. Ltd.
- Use the Platform to infringe upon the intellectual property rights of any third party.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.
7. Intellectual Property
7.1 Our IP
The Platform, including its software, source code, design, architecture, trademarks, logos, and all content created by InESS Solutions (collectively, "Our IP"), is and shall remain the exclusive property of InESS Solutions Pvt. Ltd. and its licensors. These Terms do not transfer any ownership rights in Our IP to you.
7.2 Limited Licence to You
Subject to your compliance with these Terms and timely payment of applicable fees, InESS Solutions grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business or personal supply chain operations during the term of your Subscription Plan.
7.3 Your Data & Content
You retain full ownership of all User Data you upload, submit, or generate on the Platform. By using the Platform, you grant InESS Solutions a limited, worldwide, royalty-free licence to use, process, store, and display your User Data solely for the purpose of providing and improving the Platform services. We will not sell, share, or commercially exploit your User Data for any other purpose.
7.4 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Platform, you grant us the right to use such feedback freely without any obligation of compensation or attribution.
8. Data Protection & Privacy
8.1 Our Commitment
InESS Solutions is committed to protecting your personal data. Our collection, use, and processing of personal data are governed by our Privacy Policy and Cookie Policy, both of which are incorporated into these Terms by reference and available at our website.
8.2 Global Compliance
We are committed to complying with applicable data protection laws across all jurisdictions in which we operate, including but not limited to:
- European Union & EEA: General Data Protection Regulation (GDPR) — Regulation (EU) 2016/679.
- United Kingdom: UK GDPR and Data Protection Act 2018.
- United States: California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA); applicable US state privacy laws.
- Canada: Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial laws.
- India: Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 (DPDPA).
- Japan: Act on the Protection of Personal Information (APPI).
- China: Personal Information Protection Law (PIPL) and Cybersecurity Law.
- Taiwan: Personal Data Protection Act (PDPA).
- Middle East (UAE, KSA, Qatar): Applicable national data protection and cybersecurity regulations.
- Russia: Federal Law No. 152-FZ on Personal Data.
- Other Jurisdictions: We strive to comply with all applicable national and regional data protection laws.
8.3 Data Processing
- We act as a Data Processor with respect to User Data you submit to the Platform, and as a Data Controller with respect to account and billing information.
- For Business Users subject to GDPR, we offer a Data Processing Agreement (DPA) upon request. Contact: servicedesk@inessconsulting.com.
- User Data is stored on secure cloud infrastructure. Cross-border data transfers are conducted in accordance with applicable legal mechanisms (e.g., Standard Contractual Clauses for EU data).
- We implement appropriate technical and organisational measures — including encryption in transit (TLS 1.2+), encryption at rest (AES-256), role-based access controls, and regular security audits — to protect your data against unauthorised access, loss, or disclosure.
8.4 Your Data Subject Rights
Depending on your jurisdiction, you have some or all of the following rights regarding your personal data. We honour these rights for all users globally:

To exercise any of these rights, submit your request to servicedesk@inessconsulting.com. We will acknowledge within 72 hours and respond fully within 30 days (or within the shorter period required by applicable law). We may need to verify your identity before processing your request.
8.5 Cookie Policy
Our use of cookies and similar tracking technologies is governed by our Cookie Policy, which forms part of these Terms and is available on our website. We operate a minimal cookie footprint — strictly necessary cookies only by default, with functional cookies loaded only after your explicit consent. We do not use advertising or retargeting cookies.
8.6 Data Breach Notification
In the event of a personal data breach that poses a risk to your rights and freedoms, InESS Solutions will:
- Notify the relevant supervisory authority within 72 hours of becoming aware of the breach, as required by GDPR and other applicable laws.
- Notify affected users without undue delay where the breach is likely to result in a high risk to their rights and freedoms.
- Maintain a formal incident response plan to detect, contain, investigate, and remediate data breaches.
8.7 Supervisory Authorities
If you believe we have not handled your personal data lawfully, you have the right to lodge a complaint with your local data protection supervisory authority. EU/EEA users may contact their national Data Protection Authority (list available at edpb.europa.eu). UK users may contact the Information Commissioner's Office (ico.org.uk). We would, however, appreciate the opportunity to address your concerns directly first.
8.8 Data Retention & Deletion
- Upon account cancellation or termination, your User Data will be retained for 30 days to allow for export, after which it will be permanently deleted from our active systems.
- You may request export of your data at any time from your account dashboard or by contacting servicedesk@inessconsulting.com.
9. Confidentiality
Both parties agree to maintain the confidentiality of Confidential Information shared during the course of the relationship and not to disclose such information to third parties without prior written consent, except:
- As required by applicable law, court order, or regulatory authority.
- To professional advisors bound by equivalent confidentiality obligations.
- Where the information is already publicly available through no fault of the receiving party.
This obligation of confidentiality shall survive the termination of these Terms for a period of three (3) years.
10. Service Availability & SLA
- InESS Solutions targets a monthly uptime of 99.5% for paid plans (excluding scheduled maintenance).
- Enterprise plans are subject to dedicated SLA terms as outlined in the applicable MSA.
- Scheduled maintenance will be communicated at least 48 hours in advance and will be performed during low-traffic windows.
- We maintain a business continuity and disaster recovery plan to ensure service resilience. Details are available to Enterprise customers upon request.
- We shall not be liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.
- Service credits for significant unplanned downtime may be requested by paid subscribers in accordance with our SLA Policy, available on request.
11. Third-Party Integrations & Services
The Platform may integrate with or link to third-party applications, services, or APIs (e.g., ERP systems, logistics providers, payment processors). You acknowledge that:
- InESS Solutions does not endorse, control, or bear responsibility for any third-party services.
- Your use of third-party integrations is governed by the respective third party's terms of service and privacy policy.
- We shall not be liable for any loss or damage arising from your use of, or reliance on, third-party integrations.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Any warranty that the Platform will be uninterrupted, error-free, or completely secure.
- Any warranty regarding the accuracy, reliability, or completeness of data, analytics, or outputs generated by the Platform.
InESS Solutions does not warrant that the Platform will meet your specific business requirements or that any defects will be corrected within a particular timeframe.
Consumer Users (EU/UK): Nothing in this section affects any statutory rights you may have as a consumer under applicable law, including the EU Consumer Rights Directive or the UK Consumer Rights Act 2015.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
- InESS Solutions' aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to InESS Solutions in the twelve (12) months preceding the event giving rise to the claim.
- In no event shall InESS Solutions be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of business, or reputational harm, even if we have been advised of the possibility of such damages.
- Liability limitations do not apply to: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be limited by applicable law.
14. Indemnification
You agree to indemnify, defend, and hold harmless InESS Solutions Pvt. Ltd., its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of or access to the Platform in violation of these Terms.
- Your User Data, including any claim that such data infringes or misappropriates a third party's intellectual property or privacy rights.
- Your breach of any representation, warranty, or obligation under these Terms.
- Your violation of any applicable law or regulation.
15. Suspension & Termination
15.1 Termination by You
You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. You remain responsible for all fees incurred prior to cancellation.
15.2 Termination by InESS Solutions
We may suspend or terminate your account immediately and without prior notice if:
- You breach any provision of these Terms or our Acceptable Use Policy.
- You fail to pay any fees when due and do not remedy the failure within the grace period.
- We reasonably believe your use of the Platform poses a security risk or legal liability.
- We are required to do so by applicable law or regulatory authority.
15.3 Effect of Termination
- Upon termination, your right to access and use the Platform ceases immediately.
- Your User Data will be available for export for 30 days following termination, after which it will be permanently deleted.
- Provisions of these Terms that by their nature should survive termination shall continue in full force, including Sections 7, 8, 9, 12, 13, 14, and 17.
16. Export Controls & Sanctions Compliance
The Platform and related technology are subject to export control laws and regulations of India, the United States, the European Union, and other applicable jurisdictions. You agree that you will not use or access the Platform in violation of any such laws, including:
- Exporting, re-exporting, or transferring the Platform or data to any country, individual, or entity subject to applicable trade embargoes or sanctions.
- Using the Platform to develop weapons of mass destruction or in connection with any military end-use prohibited by applicable export control laws.
17. Governing Law & Dispute Resolution
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. For users located in the European Union or United Kingdom, nothing in these Terms shall limit your rights under mandatory applicable consumer protection law.
17.2 Jurisdiction
Subject to the arbitration clause below, you agree to submit to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India for resolution of any disputes arising from these Terms or your use of the Platform.
EU Consumer Users: If you are a consumer resident in the European Union, you may also make use of the EU Online Dispute Resolution platform available at
https://ec.europa.eu/consumers/odr to resolve disputes without going to court.
17.3 Dispute Resolution & Arbitration
Before initiating any formal proceedings, both parties agree to attempt to resolve disputes informally by contacting servicedesk@inessconsulting.com with a written description of the dispute. If not resolved within 30 days, disputes shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India:
- The arbitration shall be conducted in English and seated in Bengaluru, Karnataka.
- The arbitration tribunal shall consist of one (1) arbitrator mutually agreed upon by both parties.
- The decision of the arbitrator shall be final and binding on both parties.
- Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a competent court.
18. Changes to These Terms
InESS Solutions reserves the right to modify these Terms at any time. When we make material changes, we will:
- Notify you via email to the address registered with your account at least 14 days before the changes take effect.
- Display a prominent notice within the Platform.
- Update the "Last Updated" date at the top of this document.
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform and cancel your subscription before the effective date.
19. General Provisions
19.1 Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, any applicable Order Form, and any executed MSA (for Enterprise clients), constitute the entire agreement between you and InESS Solutions regarding your use of the Platform and supersede all prior or contemporaneous agreements.
19.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
19.3 Waiver
No failure or delay by InESS Solutions in exercising any right under these Terms shall constitute a waiver of that right.
19.4 Assignment
You may not assign or transfer any rights or obligations under these Terms without prior written consent from InESS Solutions. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
19.5 Force Majeure
InESS Solutions shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, war, cyberattacks, power outages, or failure of third-party services.
19.6 Language
These Terms are drafted in the English language. In the event of any conflict between an English version and a translated version, the English version shall prevail.
